FACTS

In August, 1985, Gary Haines of Milchem, Inc. (Milchem) contacted William Loving of Southline Equipment Company (Southline) regarding the sale of several used forklifts. At the time, some of the forklifts were located in Houma, and some forklifts were in the process of being moved to Houma for repair. On or about August 30, 1985, Loving travelled to Houma
