MEMORANDUM OPINION AND ORDER

ZAGEL, District Judge.

This is the second time we confront the legal issues arising from the United Air Lines pilots' efforts to purchase United Air Lines.1 The Air Line Pilots Association, International (ALPA) and Jeffrey Buckley Cockrell, a pilot for United, an ALPA member and a United shareholder, sue UAL Corporation, United's parent company, and certain current or past Directors of UAL.
