MEMORANDUM OPINION AND ORDER

WOODS, District Judge.

The United States Environmental Protection Agency (EPA) has filed this action against twelve parties that are potentially responsible for the clean up of a toxic waste site located in Oakland County, Michigan. The EPA has filed a Motion for Entry of a Consent Decree that it has negotiated with the defendants. The State of Michigan has filed a Motion to Intervene to challenge the consent decree.
