During the spring of 1986 defendants Macfadden Holdings, Inc. and its whollyowned subsidiary Macfadden Acquisition Corporation (collectively "Macfadden") unsuccessfully tried to obtain control of John Blair & Co. ("Blair"). Plaintiffs, who tendered their Blair common stock to Macfadden, allege that Macfadden violated Sections 10(b) and 14 of the Securities Exchange Act of 1934, 15 U.S.C. §§ 78n(d)...
