Four counts involved violations of OCGA § 10-5-12 (a) (1) where in a series of transactions involving instruments constituting securities within the meaning of the law, defendants failed to comply with the registration statement requirements of OCGA § 10-5-5 as to securities which were not exempt under OCGA...
