The issue in this case is whether the defendants, Marlin and Burstein, breached any fiduciary duty to the plaintiffs, minority shareholders in the City National Bank Corporation, or unlawfully sold their positions as corporate officers when they accepted a substantial premium for the sale of their shares of stock and rights to vote certain other stock, and thereby relinquished their voting control...
