This controversy arises from negotiations and a letter agreement between Michael Shapiro and Ewing Kauffman for the sale of an interest in the Kansas City Royals Baseball Corporation. The transaction did not close on the agreed date, and Kauffman subsequently entered into an agreement of sale with defendant Avron Fogelman.
