This case arises under the Minnesota Securities Act, specifically Minn.Stat. § 80A.23, subds. 3, 4 (1986) governing secondary liability. Respondent Deborah Foley brought suit against Roger Allard and R.J. Steichen & Company for securities violations. She alleged that Allard, posing as a Steichen broker, induced her to invest, and then lost, most of her $10,000 investment.
