Halvorson-Mason Corporation (Halvorson) and Emerick Construction Co. (Emerick) engaged in a land transaction which involved a formula for fixing the value of certain property. A controversy arose about the formula, and the parties agreed to submit it to arbitration. The arbitrator ruled in favor of Emerick.
