In 1978, Gary Scarborough, the defendant and counter-plaintiff in the trial court, formed Southern Marine Research, Inc. (Florida) "SMR Florida" for the production, importation and sale of marine electronic equipment. Scarborough was president of the corporation and was also an employee thereof.
