("CMRS") has brought suit against Omni Hotels Management Corporation, formerly known as Dunfey Hotels Corporation ("Dunfey"), for payment of $24,487.23.1 CMRS seeks payment based upon two theories: payment on an account annexed, see 16 M.R.S.A. § 355 (1964); and payment for goods sold and delivered.
