In 1979, appellant Ronald D. Hagen (Hagen) entered into a contract to sell Dittmann Travel Organization, Inc., d/b/a Dittmann Tours (Dittmann), to respondent Specialized Tours, Inc. Shortly after the sale, Specialized Tours ceased making contract payments.
