This appeal presents a certified question, 28 U.S.C. § 1292(b), arising in a Securities Act misrepresentation case. Securities Exchange Act of 1934, § 10(b), 15 U.S.C. § 78j(b); Rule 10b-5, 17 C.F.R. § 240.10b-5.
