In 1981, The New York Times Company (The Times) purchased two New Jersey cable television businesses, Audubon Electronics, Inc., owned by plaintiff Irving Kahn, and Cable Systems Inc. (CSI), owned by Kahn, Morty Wolosoff, Milton Hendler and Thomas Troehler. The purchase agreements for the two sales paralleled each other and were intended to have identical meaning.
