PEARSON, J.

The sole issue in this case is whether nonshareholder employees of a company covered by payroll insurance are third party beneficiaries of the insurance contract between the company and the insurer? We hold that such employees are not third party beneficiaries because they are not named as insureds or loss payees in the insurance contract. Accordingly, we reverse the trial court's judgment in respondent's favor.
