In 1976, the plaintiff and the individual defendant entered into a written agreement whereby two corporations would be formed; one in California and one in New York. The California corporation was incorporated in February 1979, and was the only one still in existence at the time the action was commenced. (The New York corporation was dissolved in 1984.)
