Silver Ball Too, Inc. (appellant) sued B & E Enterprises (respondent) for breach of a contract for the sale of a business and to recover on a promissory note executed by respondent. The trial court found that the parties' transaction never closed, but that appellant was entitled to retain, as liquidated damages, part of the earnest money deposited by respondent.
