GEE, Circuit Judge.

The issue in this case is how far a debtor-in-possession can stretch the bankruptcy laws to undertake transactions outside a plan of reorganization. The district court did not consider whether the proposed transactions would effect an end run around the protection granted creditors in Chapter 11 of the Bankruptcy Code. For this reason, we vacate the district court order that affirmed the bankruptcy court decision authorizing the debtor to proceed...
