Plaintiff brings this action alleging breach of contract and fraud and seeking declaratory, injunctive and monetary relief. Defendant brings a counterclaim seeking damages and expenses of litigation. This court's jurisdiction is predicated upon diversity of citizenship, 28 U.S.C. § 1332. Currently before the court is defendant's motion for summary judgment on plaintiff's claims and defendant's counterclaims.
