James Seitz brought an action in the magistrate division to recover a farm disc or its value from Farmers Exchange, Inc., and Blake Boyce. Boyce was an owner or manager of Farmers Exchange, a business which bought and sold farming implements. Respondents Elmer Stecklein and Stanford Watt were also named as defendants because Stecklein had acquired the disc from Farmers Exchange and then sold it to Watt.
