TYSON, Judge.

Andrew Wilson Hayes and a co-defendant, Thomas H. Redmond, were charged by indictment with securities fraud contrary to the provisions of § 8-6-17 Code of Alabama 1975 as amended.

Initially, there were five counts in the indictment with reference to the appellant, Hayes; however, only two of these counts, counts 17 and 19 were allowed to go to the jury and these two counts form the basis of the conviction against this appellant. They are...
