BRETT, Judge:

It is unlawful for an officer of a bank to have any interest, directly or indirectly, in the proceeds of a loan made by the bank unless such loan is expressly authorized by the Oklahoma Banking Code or by rule of the Banking Board and is specifically approved by vote of two-thirds of all the directors of the bank, any interested director taking no part in such vote. 6 O.S. 1981, § 1405...
