This complex commercial litigation involves claims of breach of a contract of employment, common law fraud inducing plaintiff to enter into the contract, securities fraud in violation of section 80A.01 of the Minnesota Securities Act, and breach of a majority shareholder's fiduciary obligations to a minority shareholder.
