Appellant Medlin, a former employee and a minority shareholder of appellee Globe Continental Corporation (Globe), filed this multicount suit against Globe and appellee Carpenter, who was its president, chairman of the board, and majority shareholder. For approximately four years, Medlin had served as president of Globe and its predecessor corporation, Columbus Insulating Company.
