These two cases are purported class actions on behalf of the shareholders of Shell Oil Company ("Shell"). In the first filed Joseph action (Civil Action No. 7450), Joseph and the other plaintiffs, on behalf of a purported class, have challenged an attempt by Royal Dutch Petroleum Company ("Royal Dutch") to acquire all the shares of stock of Shell not already owned by it.
