Maryland State Bank, appellee, obtained a judgment by confession in the Circuit Court for Wicomico County against L. Byrd Whaley and the other seven directors of Delmarva Poultry Cooperative, Inc. (Delmarva), appellants, on October 5, 1979. Appellants' motion to vacate the judgment was granted, and they filed an answer to appellee's declaration. They later filed a counterclaim alleging fraud.
