Judd Gilbert, a qualified stockholder, sued Oil Conservationists, Inc., Barry Paul, the corporate president and sole director, and Paul V. DeBianchi, the corporate attorney, an authorized agent. Gilbert sought to examine the corporate books and records pursuant to Section 607.157(4), Florida Statutes (1983), and was refused by the three defendants. Gilbert then sought to impose the penalties prescribed by Section
