Background

For a number of years Harold M. Lasater, Sr., operated several grocery stores in the Chattanooga area. Upon his death his wife became the Executrix of his estate. She sold three grocery stores to H.W. Smith, Ernest Whitfield and Alfred Hewatt. The debtor corporation, Bubba's of Tennessee, Inc., was formed to own and operate the grocery stores.
