This matter comes before the Court on cross motions for summary judgment. Plaintiff, alleging securities fraud and breach of fiduciary duty, invokes the Court's jurisdiction pursuant to § 27 of the Securities Exchange Act of 1934 ("Exchange Act"), 15 U.S.C. § 78aa, and the Court's pendent jurisdiction over state law claims.
