The plaintiffs in this case, Emmy Lou and Clifford E. Spiller, were the owners of two corporations, Spiller and Spiller, Inc., and L.P. Industrial Building Corporation. Emmy Lou Spiller, individually, and the L.P. corporation loaned money to Spiller and Spiller, Inc., in return for the promissory notes of the corporation.
