Larry Fendell appeals the denial of his claim for rescission and the entry of judgment against him. We affirm.

In January 1978, Northwest Furnace & Equipment Co. (Northwest) was formed. Victor Simonson, a former truck driver, provided the funding and was issued 50 percent of the corporate stock.
