George Liddy, plaintiff-appellee, and Lawrence Urbanek, defendant-appellant, formed Boca Raton Land Development Incorporated (BRLD), under the laws of Florida in 1973. The articles of incorporation listed Liddy as president and Urbanek as secretary-treasurer.
