Plaintiffs, stockholders of defendant Hospital Building Corporation (HBC), commenced this derivative action to recover lost profits of HBC as a result of certain transactions with the individual defendants, who are directors of HBC and also partners of Pelham Bay General Hospital (PBGH) which leases a hospital from HBC.
