This is an action under § 16(b) of the Securities Exchange Act of 1934, 15 U.S.C. § 78p(b),1 to recover the alleged "short-swing" profits by the defendant W. J. Murphy, on behalf of the defendant-Fremont Energy Corporation (hereinafter "FEC"). Murphy is and was the president of the FEC at the time of the alleged transactions.
