Defendant Merlin Industries, Ltd. (Merlin) entered into an agreement with the New York City Housing Authority (Authority) to install elevator entrances in the Ingersoll-Whitman Housing Project in Brooklyn. Pursuant to a subcontract, plaintiff Firedoor Corporation of America, Inc. (Firedoor) was to supply Merlin with the elevator doors and frames needed to fulfill the main contract with the Authority.
