I. INTRODUCTION

This is a suit to recover pension and employee welfare benefits brought pursuant to the Employee Retirement Income Security Act of 1974 ("ERISA"), 29 U.S.C. § 1001 et seq. The fourteen plaintiffs are all former salaried employees of the Dutch Boy Paint Division ("Dutch Boy") of NL Industries ("NL") not covered by a collective bargaining agreement.1
