This is an appeal from an $80,000.00 jury verdict rendered in a shareholder's derivative action from the Circuit Court of Etowah County in favor of William Wells and Cecil Patterson in their capacity as minority shareholders of Forrest Discount Company, Inc. (Forrest), and against Finance, Investment and Rediscount Company (F, I and R), the majority shareholder and foreclosing creditor of Forrest.
