This appeal of take nothing judgment involves the application of a buy-sell agreement as it relates to the sale of stock of a closely-held corporation. Clarence Kenney and wife, Nelldean, as dissatisfied stockholders of Valley Plumbing Company sought among other things, specific performance of an unsigned contract of sale of corporate stock against John Porter and wife, Dorothy.
