This is an appeal by defendant from a bench tried replevin action.

Plaintiff is a corporation. All of its outstanding stock is held by three doctors, one of whom is the defendant, and they comprise its board of directors. Plaintiff's corporate purpose, broadly speaking, is to "operate emergency room departments".
