Appellee (Galbraith) sought to recover damages from appellant (Goldgar) arising from appellant's breach of a sales contract. Goldgar agreed to purchase the majority of Galbraith's stock in Galbraith, Hoffman & Rogers, Inc. (GH&R), a New York advertising agency.
