Baer, filed his complaint in equity on May 2, 1980 alleging, inter alia, that defendants, Fidelco Growth Investors (FGI), its trustees and U.S. Lend Lease (Lend Lease), consummated an agreement on April 25, 1980 which had as its primary purpose a dilution of plaintiff's voting power from 23.2 percent to 18.5 percent by the sale to Lend Lease of 400,000 shares of FGI stock, approximately 21 percent of all outstanding...
