TRASK, Circuit Judge:

This appeal is taken from a dismissal under Fed.R.Civ.P. 12(b)(6) of plaintiff-appellant's contract and related claims for failure to state a claim upon which relief may be granted, or in the alternative for summary judgment. In considering a motion to dismiss under Rule 12(b)(6), the district court must take as true all facts as alleged by the plaintiff. Hospital Building Co. v. Trustees of Rex Hospital, 425 U.S. 738
