This case arises out of a dispute between Erika, Inc., a Delaware corporation, and Blue Cross-Blue Shield of Alabama ("Blue Cross"), a non-profit corporation organized for the purpose of operating various health care service plans. The court has jurisdiction under 28 U.S.C. § 1332.
