Memorandum Findings of Fact and Opinion

SCOTT, Judge:

Respondent determined a deficiency of $12,284 in petitioner's Federal income tax for the taxable year ending January 31, 1974. Petitioner has conceded the correctness of all but one of the adjustments made by respondent in the notice of deficiency, leaving for our resolution the determination of the fair rental value of a meat processing plant leased to petitioner by its sole shareholder.
