Before the court are the motions to dismiss and/or for summary judgment of the plaintiffs and defendants. On July 28, 1971, the plaintiff filed a shareholder's derivative action on behalf of Pioneer Fund, Inc., a mutual fund. The complaint essentially asserts that the directors of the Fund, as well as the Fund's investment adviser, PMC, breached their fiduciary duties to the Fund by selling the adviser's fiduciary...
