MEMORANDUM OPINION

DeMASCIO, District Judge.

Park Chemical Company's (the Company) stock is registered under § 12 of the Securities and Exchange Act of 1934, 15 U.S.C. § 78l, and has been traded on the American Stock Exchange since 1952. Approximately 43% of the Company's stock (143,813 shares of a total issue of 336,250) is held in a Trust established under the Last Will and Testament of William Park Woodside, Sr.1
