This appeal arises from a judgment of the district court, sitting without a jury, validating and enforcing a corporate buy-sell agreement entered into between defendant-appellant and plaintiff-appellee. Defendant claims:

1. That as a matter of law, the trial court erred in ruling there was a valid and legal contract, plaintiff's contractual promise to refrain from instituting any civil or criminal action against defendant regarding the checks...
