This matter started out as a simple suit on an open account for merchandise furnished and services rendered by a franchisor (Team Central, Inc.) to its franchisee (Teamco, Inc.). It later blossomed into complicated litigation involving a number of difficult questions arising out of Teamco's counterclaim against Team Central and Dayton Hudson Corporation.
