The facts were stipulated before the Tax Appeals Commission and are not in dispute. In June, 1969, WKBH adopted a plan of complete liquidation. In January, 1970, it sold its real and tangible personal property and certain intangible personal property pursuant to its plan of complete liquidation; it then liquidated and distributed all of its assets within one year of the adoption of the plan on a pro rata basis...
