This diversity suit was instituted to determine the rights of the parties under a deed conveying 306.35, more or less, acres of land in St. Lucie County, Florida.

By deed dated March 12, 1959, Iglehart conveyed, subject to a repurchase option, the land to Phillips' father. The option stated that: "in the event the grantee herein desires to sell the property conveyed by this deed, together with improvements, if any, then said property shall...
